His Highness Sheikh Mohammed bin Rashid Al Maktoum, Vice President and Prime Minister of the UAE, in his capacity as Ruler of the Emirate of Dubai, issued Law No. (12) of 2022 establishing the Salik Company (PJSC), which enjoys a legal personality and has financial and administrative independence. And the legal capacity to carry out its activities and achieve its purposes, in accordance with the provisions of this law, the statute and the legislation in force in the emirate, while the law specified the term of the company at a period of (99) years, starting from the date of its registration in the commercial registry, and automatically renewed for a similar period in accordance with its articles of association.

The head office of the company shall be in the Emirate of Dubai, and it may establish branches or offices inside and outside the Emirate.

Rights and Privileges

With regard to rights and privileges, the law stipulates that the Roads and Transport Authority in Dubai shall assign all or some of its competencies related to the operation and management of the traffic tariff system, which are specified in the law and the decisions issued under it and the legislation in force in the emirate, to ensure that the company can achieve the goals for which it was established. , according to a concession contract concluded by the Authority with the company, and according to which its term and the rights and obligations of its parties are determined.

The law also stipulates that the authority, in coordination with the Department of Finance, determines the assets, funds, material and moral rights, privileges, obligations, guarantees and pledges, belonging to the authority related to the traffic tariff system, which will be transferred to the company, in accordance with the legislation in force in the emirate, and on the relevant government agencies, At the request of the Roads and Transport Authority, take the necessary measures to complete the transfer and registration process.

The law defines the company’s objectives, which include the operation, management and development of the traffic toll system exclusively within the Emirate of Dubai, the application of the legislation regulating traffic tariffs, in addition to the management, development and operation of traffic systems, in accordance with the contracts it concludes with the authorities concerned with these regulations inside and outside the Emirate of Dubai, as well as providing advisory services in The field of traffic regulations and traffic tariffs, and coordination with the Roads and Transport Authority to prepare studies related to plans and locations of traffic tariff gates, in addition to any other purposes specified by its statute.

Subscription and share ownership

The law stipulates that all shares of Salik are fully owned by the Government of Dubai, and the Executive Council may determine a percentage of the shares whose ownership may be transferred to others, through public or private subscription, and the responsibility of the company is limited to its paid-in capital, and the responsibility of its shareholders is determined by the value of the shares name they have.

Without prejudice to the provisions of this law and the legislation in force in Dubai, the President of the Executive Council of the Emirate shall adopt the Articles of Association, provided that it includes specifying all issues related to the organization of the company, with the Chairman of the Executive Council concerned with amending the Articles of Association in the event that the company remains fully owned by the government, while the General Assembly shall undertake The company may amend this regulation in the event that the company’s shares are offered for subscription.

Board of Directors

According to the law, Salik has a board of directors, consisting of a president, a vice-chairman and a number of members, and the company’s first board of directors is appointed by a decision of the Chairman of the Executive Council of the Emirate of Dubai, and the term of membership in the board of directors is three years, provided that the formation of the board of directors reflects the rights of Ownership in the company. The company also has a CEO who is appointed and dismissed from the company’s board of directors, and entrusted with the task of direct supervision of the company, and the board of directors may assign any of its members as a managing director to directly supervise the company’s management and carry out the tasks of its CEO.

With regard to the company’s human resources, the law permits the transfer of some employees working for the Roads and Transport Authority on the date of this law into effect to Salik. These employees are identified by a decision issued by the Director General and Chairman of the Board of Directors of the Roads and Transport Authority in Dubai, without prejudice to their acquired rights. .

A special system for human resources is applied to Salik employees, and in a manner that does not conflict with the legislation in force in the Emirate of Dubai, to be approved by the company’s board of directors.

The law stipulates that the proceeds of fees and fines that are collected or related to the traffic tariff system shall revert to the company according to the concession contract that the company concludes with the Roads and Transport Authority.
