On the 2nd, Huayi Brothers issued an announcement saying that Huayi Brothers Media Co., Ltd. has recently received the China Securities Regulatory Commission Zhejiang Regulatory Bureau (hereinafter referred to as "Zhejiang Securities Regulatory Bureau") "On Wang Zhongjun, Wang Zhonglei's decision to issue a warning letter" ([2022] No. 50).
The warning letter reads:
Wang Zhongjun and Wang Zhonglei: As the actual controllers of Huayi Brothers Media Co., Ltd., during the period from October 30, 2009 to December 20, 2021, the proportion of the company's equity you held dropped from 34.41% to 23.74%. The change ratio was 10.67%, of which the cumulative equity ratio decreased by 7.54% due to the non-public issuance of shares by the company on August 14, 2015; from November 24, 2015 to December 20, 2021 Purchase and cancellation of shares, exercise of stock options, etc. resulted in a decrease of 3.13% in the cumulative equity ratio.
When the percentage of equity changes reaches 5%, you fail to stop trading in the company's shares and perform reporting and announcement obligations in a timely manner.
Until December 22, 2021, you will not disclose the abbreviated equity change report.
Your above-mentioned behavior violated the relevant provisions of Article 14 of the Administrative Measures for the Acquisition of Listed Companies (Order No. 108 of the China Securities Regulatory Commission).
According to the relevant provisions of Article 75 of the Measures for the Administration of the Acquisition of Listed Companies (Order No. 108 of the China Securities Regulatory Commission), our bureau has decided to take supervision and management measures of issuing a warning letter to you and record it in the integrity file of the securities and futures market.
You should earnestly learn lessons, effectively strengthen the study of securities laws and regulations, strictly regulate the behavior of buying and selling shares of listed companies, take effective measures to prevent the recurrence of such illegal acts, and report to our bureau within 10 working days from the date of receipt of this decision. Submit a written rectification report.
