The Italian audiovisual group Media For Europe (MFE), in the hands of the Berlusconi family, has launched a takeover bid for its subsidiary Mediaset España.

According to the documentation provided to the Spanish National Securities Market Commission (CNMV), this takeover bid is aimed at controlling all the shares that make up the share capital of Mediaset España, of which the Italian parent company already owns 55 .69% of the shares.

The

remaining 44.31%

, in free float, is the objective of the Berlusconis to control the entire Spanish company, which has channels such as Telecinco and Cuatro in Spain.

For that portion, MFE is offering 1.86 euros per share in cash and 4.5 in ordinary shares.

Pier Silvio Berlusconi, CEO of Fininvest, highlights the operation as "a great opportunity for all shareholders and the European media sector".

The son of former Italian Prime Minister Silvio Berlusconi is at the head of an investment vehicle that is the owner of a aforementioned direct stake in MFE that represents 49.33% of its share capital, and in turn

50.9% of its rights. of vote

, with which they hold an absolute majority.

This Monday, the CNMV had already suspended "precautionary and with immediate effect" the price of Mediaset España, when its shares rose 2.30%, to 5.1 euros, due to the first information regarding an MFE takeover bid on the Spanish society.

The Mediaset audiovisual group

was transformed last November into MFE-MediaForEurope

, a continental giant project based in the Netherlands (with all that that implies for taxes), although the investees Mediaset Italia and Mediaset España kept their name.

In 2019, the company had explored the merger between Mediaset Italia and Spain, but disagreements with its French partner, Vivendi, had stopped that plan.

In May of last year, Fininvest and Vivendi had agreed to end their disputes and renounce the litigation in which they were facing each other.

Last month, Borja Prado was appointed as the new president of Mediaset España, following the departure of Alejandro Echevarría from a position he has held for 26 years, since 1996.
