HDC Hyundai Development Company, which remained silent about the loss of its acquisition of Asiana Airlines, expressed regret after making its first official position today (15th), four days after it received notification of contract cancellation.



It seems that the dispute over the return of the down payment of 250 billion won in fact seems to have intensified as a legal response has been announced by putting all responsibility for the loss of the acquisition to creditors and Kumho Asiana.



In today's position statement, Hyunsan re-explained the vision of the'Comprehensive Mobility Group' and the will to acquire Asiana Airlines.



In addition, it has repeatedly emphasized that re-counting of Asiana Airlines was a necessary procedure to close the transaction.



In particular, it was mentioned that the Fair Trade Commission recently imposed a fine of 32 billion won for unfair support activities between affiliates and accused the prosecution of former Kumho Asiana Group Chairman Park Sam-koo and management, Kumho Industries, and Asiana Airlines.



Hyeonsan argues that the request for re-inspection was not unreasonable, as legal risks became a reality and threatened not only the dismissal of employees but also the survival of HDC Group at the end of the transaction.



It is a counterargument to the argument that creditors and Kumho Industries have not been willing to take over the request for re-inspection and that it is only time consuming.



On the 26th of last month, Hyunsan also expressed dissatisfaction with the report on the'final talk' by Saneun Lee and Mong-gyu Chung, chairman of HDC Group.



Even though the specific proposal was not discussed in the interview, the issue was that the media had reported'one trillion discount'.



Hyunsan argued that "after Saneun Eun-eun suggested that one party should not respond to the media, but coordinated with each other and jointly, but from the afternoon of the meeting, an article that was different from the facts was reported."



Afterwards, Hyeonsan sent an e-mail and said that the KDB officially declared the takeover, saying, "After an accurate diagnosis of Asiana Airlines' current financial and business conditions and review of future viability, discussion of the terms of the acquisition is essential. Because it is, I look forward to a serious discussion in the future.' But I did not have any answer," he belatedly explained.



Hyeonsan, who has remained silent about the results of the final interview and e-mail responses, seems to be insisting that the creditors and Kumho Industries are solely responsible for breaking this contract.



Based on this, Hyunsan is expected to file a lawsuit for returning a down payment of KRW 250 billion.



Hyeonsan has already announced a lawsuit for returning the down payment, saying, "We will review the notification of the implementation of the procedure necessary for cancellation of the contract and cancellation of the pledge on the down payment from a legal level and then proceed with the related response."



In particular, it is known that Hyeonsan is reviewing the case of receiving 126 billion won back out of the 300 billion won performance deposits that Hanwha Chemical made in 2008 in pursuing the acquisition of Daewoo Shipbuilding & Marine Engineering.



Hanwha emphasized that at the time, the key players in the collapse of the contract were unable to perform due diligence, and that they did not receive the minimum data necessary for review before signing the final contract.



Accordingly, in 2016, the Supreme Court accepted Hanwha's argument and broke the court case that decided to defeat the plaintiff and returned it to the court.The Seoul Court ruled that the Korea Bank and the Bank of Korea pay 126 billion won and delayed interest to Hanwha at the revocation court in 2018. I did.



By referring to Hanwha's case, Hyunsan said that Kumho Industries and Asiana Airlines did not provide proper information, and it seems that they are'building a justification'.



It is known that the creditors are considering whether to respond based on the contents of the prefecture's position.
