The entity resulting from the merger between CaixaBank and Bankia will have a board of directors of 15 members. The new bank, the main one in Spain, will be presented today, Friday, in Valencia, where the head office is located, after this approval Thursday of the agreement.

José Ignacio Gorigolzarri, Chairman of Bankia, will also be Chairman of the merged bank, Gonzalo Gortázar, CEO of the Catalan bank, will hold the same position as chief executive of the new entity, which will carry the CaixaBank trademark.

Of the total of 15 members of the new council, 60% will have the category of independent, as both entities have announced this Friday.

Thus, the two aforementioned positions will occupy executive positions, while there will be two directors at the proposal of CriteriaCaixa (CaixaBank's main shareholder), one at the proposal of BFA Tenedora de Valores (representative of the State through the FROB), six independent at the proposal of CaixaBank and three independents at the proposal of Bankia.

In addition, Fernando María Costa Duarte Ulrich, non-executive president of the Portuguese bank BPI, would have the consideration of

another external director

.

The composition of the new board of directors will have to be submitted to the approval of the general shareholders' meetings, but it is already reflected in the relevant fact sent to the Navional Commission of the Stock Market (CNMV) this Friday, in the absence of the unknown of the election to represent the FROB.

A third of the directors will be women and some well-known names remain, such as that of the former Minister of Science and Innovation Cristina Garmendia.
